    UPPERCLASS TERMS OF SERVICE

    (UpperClass / UpperClass1 Platform)

    1. Overview

    These Terms of Service ("Terms") govern your access to and use of the UpperClass platform (including UpperClass and UpperClass1), operated by Better Tech Pte. Ltd. ("UpperClass").

    The Platform enables institutions to:

    • Activate student creators
    • Manage campaigns and content
    • Capture leads and bookings
    • Operate student-led engagement programs

    By accessing or using the Platform, you agree to these Terms.


    2. Platform Role

    UpperClass is a technology platform.

    UpperClass:

    • Does not act as a recruitment agent
    • Does not make admissions decisions
    • Does not employ student creators
    • Does not control institutional policies

    Institutions fully control:

    • Creator participation
    • Campaigns and content
    • Incentives and rewards
    • Lead qualification and communications

    3. User Roles

    The Platform supports multiple roles:

    • Institution Admin / Staff
    • Student Creators
    • Parents / Prospective Students
    • Platform Administrators (UpperClass)

    Each role has different permissions and responsibilities.


    4. Institution Responsibilities

    Institutions are responsible for:

    • Approving and managing student creators
    • Defining reward and compensation structures
    • Reviewing and moderating content
    • Managing campaigns and messaging
    • Handling leads and communications
    • Ensuring compliance with applicable laws

    UpperClass does not assume responsibility for institutional operations or decisions.


    5. Student Creators

    Student Creators:

    • Participate as independent individuals or contractors
    • Are not employees of UpperClass
    • Are not official representatives of the Institution unless explicitly stated

    Creators may:

    • Participate in campaigns
    • Submit content for review
    • Generate leads and engagement
    • Offer sessions or services (if enabled)

    All content is subject to:

    • Institutional approval workflows
    • Automated moderation systems (e.g., content safety checks)
    • Platform verification processes

    6. Content & Campaigns

    The Platform enables structured campaigns where:

    • Institutions assign creators to campaigns
    • Creators submit content based on campaign plans
    • Content is reviewed and approved before validation
    • Engagement and performance are tracked

    Institutions are solely responsible for:

    • Content accuracy
    • Brand compliance
    • Messaging and claims

    UpperClass may apply automated moderation tools but does not guarantee content accuracy.


    7. Leads & Communications

    The Platform includes lead generation and CRM features:

    Leads may be generated through:

    • Creator profiles
    • Campaign links
    • Booking flows
    • Contact forms
    • Leads are owned and managed by the Institution
    • Institutions define qualification rules

    UpperClass acts only as a data processor and system provider.


    8. Bookings & Sessions

    The Platform may enable bookings between users and creators:

    • Sessions are informational only
    • Creators are not admissions officers or official advisors
    • Institutions control whether bookings are enabled

    Payments (if applicable):

    • May be processed via integrated payment providers (e.g., Stripe)
    • May be facilitated by UpperClass on behalf of creators

    UpperClass:

    • Does not guarantee session outcomes
    • Is not liable for interactions between users

    9. Incentives & Rewards

    The Platform includes incentive systems:

    • Points-based rewards
    • Performance-based rewards
    • Activity-based rewards
    • Optional creator earnings (if enabled)

    All reward structures are defined by the Institution.

    UpperClass:

    • Tracks activity and performance
    • Does not determine compensation terms
    • Does not employ or pay creators directly (unless acting as a payment facilitator)

    10. Legal Acceptance & User Agreements

    All users must:

    • Accept role-specific terms before using the Platform
    • Re-accept terms upon updates

    The Platform maintains:

    • Versioned legal documents per institution
    • Immutable acceptance logs
    • Audit trails for compliance

    UpperClass may also reference the Institution in general marketing statements (e.g., "Trusted by leading universities globally") without requiring prior approval.


    11. Data & Privacy

    11.1 Roles

    • Institution = Data Controller
    • UpperClass = Data Processor

    11.2 Data Usage

    Data is used to:

    • Operate platform features
    • Facilitate campaigns, leads, and bookings
    • Provide analytics and reporting

    UpperClass does not sell personal data.

    11.3 Responsibility

    Institutions are responsible for:

    • Obtaining user consent
    • Managing data usage policies
    • Handling user data requests

    12. Platform Features & Availability

    The Platform includes:

    • Creator management
    • Campaign tools
    • Content moderation workflows
    • Lead capture and CRM
    • Booking systems
    • Messaging systems
    • Analytics dashboards
    • Notifications and real-time updates

    Features may evolve over time.

    UpperClass does not guarantee uninterrupted availability.


    13. Acceptable Use

    Users must not:

    • Misrepresent information
    • Engage in harassment or abuse
    • Use the Platform for unlawful purposes
    • Attempt to bypass platform controls or security

    UpperClass may suspend or terminate access for violations.


    14. Audit, Monitoring & Compliance

    The Platform maintains:

    • Audit logs of key actions
    • Content review records
    • Activity tracking

    UpperClass may monitor usage to:

    • Ensure platform integrity
    • Prevent abuse
    • Maintain compliance

    15. Fees & Billing (Institutions)

    Institutions may be billed based on:

    • Active creators
    • Leads generated
    • Subscription or usage-based models

    Billing terms are defined in separate agreements.


    16. Disclaimers

    The Platform is provided "as is".

    UpperClass does not guarantee:

    • Student recruitment outcomes
    • Lead conversion
    • Creator performance
    • Engagement levels

    17. Limitation of Liability

    To the maximum extent permitted by law:

    • UpperClass is not liable for indirect or consequential damages
    • Liability is limited to fees paid in the preceding 12 months

    18. Termination

    Access may be terminated:

    • By the Institution
    • By UpperClass for breach or risk

    Upon termination:

    • Access will be revoked
    • Data export may be allowed within a reasonable period

    18a. FERPA (US Institutions)

    When UpperClass processes personally identifiable information from education records on behalf of a US college or university, UpperClass acts as a "school official" performing an institutional service or function under a "legitimate educational interest," as contemplated by the Family Educational Rights and Privacy Act (FERPA), 34 CFR §99.31(a)(1). Specifically, UpperClass:

    • Uses education records only for the purposes the institution authorizes in the underlying agreement and Data Processing Agreement (DPA).
    • Does not re-disclose personally identifiable information from education records to any third party without the institution's prior written authorization or an authorization permitted under FERPA.
    • Remains under the direct control of the institution with respect to the use and maintenance of those education records.
    • On termination, deletes or returns education records provided by or generated for the institution, subject to any short retention permitted by law or the DPA.

    19. Governing Law

    These Terms are governed by the laws of Singapore, unless otherwise agreed.


    20. Updates

    These Terms may be updated periodically.

    Users will be required to re-accept updated versions where applicable.
